Terms of Service & Service Level Standards

Welcome to Proper WebOps (“we”, “us”, or “our”), accessible at properwebops.com. These Terms of Service (“Terms”) govern your use of our website, maintenance plans, security services, performance optimizations, and technical web operations (collectively, the “Services”).

By subscribing to or utilizing our Services, you (“Client”, “User”) agree to be bound by these Terms. If you are entering into this agreement on behalf of a company or legal entity, you represent that you have the authority to bind such entity.

1. Scope of Services & Operational Boundaries

Proper WebOps provides ongoing technical operations, WordPress infrastructure maintenance, security monitoring, performance optimization, and custom technical support as detailed in your active service plan (Starter, Pro, or Agency).

  • Core Operational Duties: We are responsible for maintaining server/CMS environment stability, executing regular updates, applying security patches, managing off-site encrypted backups, and monitoring endpoint availability within our controlled workflows.

  • Shared Responsibility Model: Proper WebOps maintains and monitors the technical infrastructure and submission endpoint integrity of website elements (e.g., ensuring contact forms are operational and SMTP relay functions properly). The Client is solely responsible for internal lead routing, sales follow-ups, and managing incoming business inquiries.

  • Out-of-Scope Work: Custom feature development, full site redesigns, or third-party API integration overhauls outside allocated plan hours are subject to separate project estimates.

2. Client Responsibilities & Platform Ownership Disclaimer

The Client retains full administrative ownership, control, and authority over their website, server environment, and access permissions. Because the website remains the Client’s property and their internal team or third-party vendors retain access to make changes, the Client agrees to:

  • Secure Access Provision: Provide necessary access via our zero-password onboarding connector or encrypted credential vaults.

  • Client-Initiated Changes: Take responsibility for any plugins, themes, custom code, tracking scripts, or administrative edits introduced directly by the Client or their authorized users.

  • Licensing & Third-Party Tools: Maintain valid licenses for commercial third-party plugins, themes, or software services unless explicitly provided under Proper WebOps management.

  • Pre-Existing Codebase Integrity: Disclose known pre-existing site vulnerabilities, custom legacy code modifications, or past server breaches prior to plan activation.

3. Staging-First & Deployment Protocol

To minimize risks to live production systems, Proper WebOps strictly enforces a Staging-First operational methodology:

  • Staging Verification: Major core, plugin, and database updates executed by Proper WebOps are deployed and tested within an isolated staging environment prior to production rollout.

  • Rollback & Restore: In the event of an unforeseen conflict following an emergency patch or update, Proper WebOps will initiate an immediate rollback using off-site backup snapshots.

4. Billing, Subscriptions & Cancellations

  • Billing Cycles: Subscriptions are billed in advance on a recurring monthly or annual basis depending on the selected plan.

  • Plan Upgrades & Usage: Allocated monthly support/maintenance hours do not roll over to subsequent billing cycles.

  • Cancellation Policy: Subscriptions can be canceled at any time prior to the next billing cycle via written notice or client portal request. Service will remain active until the end of the paid billing period.

5. Intellectual Property & Data Ownership

  • Client Ownership: The Client retains full ownership of all proprietary assets, website content, trademarks, custom codebase, and database records.

  • Proper WebOps Ownership: All proprietary operational scripts, custom connector plugins, internal monitoring workflows, and documentation provided by Proper WebOps remain our intellectual property.

6. Disclaimer of Warranties & Maximum Legal Protection

Important Notice on Platform Control: Because the Client ultimately owns, controls, and manages their own website and hosting environment, Proper WebOps cannot and does not guarantee 100% uptime, absolute core function stability, or complete immunity from malware and security breaches.

  • No Unconditional Guarantees: While Proper WebOps applies continuous monitoring, malware scanning, automated backups, and proactive security patching, no web platform is entirely risk-free. Proper WebOps does not warrant that the website will operate uninterrupted, error-free, or entirely free of malicious code, zero-day exploits, server hardware outages, or third-party service disruptions.

  • Exclusion for Client/Third-Party Actions: Proper WebOps shall not be held liable or responsible for any downtime, broken core functionality, site failures, or malware infections resulting directly or indirectly from actions taken by the Client, their employees, or third-party developers (including but not limited to: installing incompatible plugins, altering core code, weak password security, or revoking server permissions).

  • Limitation of Liability: To the maximum extent permitted by applicable law, Proper WebOps shall not be liable for any indirect, incidental, special, consequential, or punitive damages—including loss of revenue, lost sales, data loss, reputation damage, or business interruption. Our total aggregate liability under any circumstances shall not exceed the total fees paid by the Client to Proper WebOps during the three (3) months preceding the claim.

7. Termination

We reserve the right to suspend or terminate access to our Services immediately if the Client violates these Terms, fails to settle invoices, or engages in unlawful activities using the managed platform. Upon termination, all active client credential tokens and API connectors will be revoked, and temporary off-site storage snapshots will be purged in accordance with our Privacy Policy.

8. Amendments to Terms

Proper WebOps reserves the right to modify or update these Terms at any time to reflect operational, technical, or legal changes. Continued use of our Services following published updates constitutes acceptance of the modified Terms.
